$WATER, the native coins of the Waterfall protocol, are offered only outside of the United States, pursuant to the provisions of Regulation S, or other applicable exemptions, of the U.S. Securities Act of 1933, as amended (the “Securities Act”), to non-U.S. individuals and entities whom are not citizens or residents of those countries and jurisdiction where the offering of $WATER is not permitted under the laws and regulations applicable to such persons (including without limitation Afghanistan, Benin, Bhutan, China, Crimea region, Cuba, Iran, Iraq, Syria and Vatican City, and collectively with the United States, the “Non-Offered Jurisdictions”). The users of Waterfall protocol may issue their own tokens but the Association will only be responsible for its native coin $WATER.
